案情

2021年9月，张某与某房地产公司签订《商品房买卖合同》，购买该公司名下401号房产，并支付了房款382654元，房地产公司到房管部门将《商品房买卖合同》备案登记在张某名下。2022年9月，张某与李某签订《房屋买卖协议》，约定张某以30万元将401号房产卖给李某。后李某向张某支付购房款25万元，剩余5万元约定交钥匙时付清（至本案立案时案涉房屋未交工）。2024年5月，法院依据案外人（张某债权人）执行申请，裁定预查封401号房产。李某遂诉至法院，要求撤销上述执行裁定书并判决案涉房产为自己的合法财产。

法院审理

法院审理认为，本案的争议焦点为李某就案涉房产是否享有足以排除强制执行的民事权益。根据《中华人民共和国民法典》第二百零九条第一款的规定，不动产物权的设立、变更、转让和消灭，经依法登记，发生效力；未经登记，不发生效力，但是法律另有规定的除外。本案中，某房地产公司和张某签订《商品房买卖合同》以及李某与张某签订的《房屋买卖协议》均合法有效，但是仅具有债权效力，不具有导致物权变动的法律效果，李某和张某均未办理不动产变更登记，未取得物权。现案涉房屋已被法院依据生效判决预查封，李某不能基于与张某的《房屋买卖协议》对抗法院的生效判决，故李某就案涉房产不享有足以排除强制执行的民事权益。最终法院驳回了李某的诉讼请求。

法官说法

张某与某房地产公司、张某与李某签订的房屋买卖合同是否有效？

根据《中华人民共和国民法典》第二百一十五条的规定，当事人之间订立有关设立、变更、转让和消灭不动产物权的合同，除法律另有规定或者当事人另有约定外，自合同成立时生效；未办理物权登记的，不影响合同效力。张某和某房地产公司《商品房买卖合同》、张某和李某签订的《房屋买卖协议》均是当事人真实意思表示，不违反法律、行政法规的强制性规定、不违反公序良俗，虽然均未办理物权登记，但合法有效。

签了买卖合同，房子就是李某的吗？

合同效力与物权效力存在本质区别。合同效力是基于当事人意思自治形成的债权关系，合同一旦成立且符合法定生效要件，当事人之间就产生了请求对方履行合同义务的权利。张某与李某签订协议后，李某有权依据合同要求张某协助完成过户。而物权效力则以登记为公示手段，直接决定物权归属。即便张某与李某的合同有效，但在未办理房屋过户登记前，房屋的所有权仍不属于李某。本案中案涉房屋在执行中被预查封，此时李某已不能直接主张房屋所有权，虽然张某和李某的买卖合同合法有效，但是未办理过户登记，因此房子并不属于李某所有。李某只能依据有效合同向张某主张违约责任，要求赔偿损失。

已办理“网签备案”的商品房可否被司法查封？

根据《最高人民法院、国土资源部、建设部关于依法规范人民法院执行和国土资源房地产管理部门协助执行若干问题的通知》第十五条规定：下列房屋虽未进行房屋所有权登记，人民法院也可以进行预查封：（一）作为被执行人的房地产开发企业，已办理了商品房预售许可证且尚未出售的房屋；（二）被执行人购买的已由房地产开发企业办理了房屋权属初始登记的房屋；（三）被执行人购买的办理了商品房预售合同登记备案手续或者商品房预告登记的房屋。本案中，案涉房产已经备案登记在张某名下，因此在张某的债权人申请执行时，法院有权对案涉房产进行预查封。

如何规避这种风险？

购买商品房后应及时向不动产登记机构申请办理商品房“预告登记”，符合登记发证条件的，最好及时申请办理不动产登记证书。商品房预告登记是为保全未来发生的物权而在登记机构对已购买商品房进行的预先登记，是对购房人的请求权进行登记的一种行为。购房者预告登记后，购房人作为权利人对后来发生的与预告登记内容相同的不动产处分行为，具有一定排他效力，在没有征得购房者的同意，如果开发商再次对该不动产进行处分，不会产生物权效力。在开发商陷于破产时，有排斥他人而保障购房者请求权的效果。预告登记后，自能够进行不动产登记之日起九十日内未申请登记的，预告登记失效。买方在申请了预告登记后应当及时申请正式登记，千万不能认为办理了预告登记就可以高枕无忧。办理正式的不动产登记证书，才是最具有排他效力的“物权凭证”。
